By creating an account or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Services on behalf of a company, you represent that you have the authority to bind that company to these Terms.

Newgen provides AI-native payment infrastructure, including but not limited to: virtual card issuing, payment acquiring, payment processing, and related financial services. The specific features and functionality available depend on your account type and subscription level.

3. Eligibility

To use our Services, you must:

• Be at least 18 years of age
• Have a valid business entity or be an authorized representative
• Provide accurate and complete registration information
• Pass our onboarding and verification processes
• Comply with all applicable laws and regulations

4. Account Responsibilities

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Ensuring your use complies with these Terms
• Maintaining adequate security measures for your systems

5. Acceptable Use

You agree not to use the Services to:

• Process payments for prohibited businesses (see our Prohibited Business List)
• Engage in illegal activities or money laundering
• Violate any applicable law, regulation, or third-party rights
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the integrity of our Services
• Use the Services for high-risk financial activities without proper licensing

6. Payment Terms

Our payment terms include:

• Fees are charged according to the pricing plan selected
• All fees are exclusive of applicable taxes unless stated otherwise
• Failed payments may result in service suspension
• Refunds are processed at our sole discretion
• Chargebacks are subject to our Chargeback Policy

7. Intellectual Property

All intellectual property rights in the Services, including our API, documentation, and proprietary technology, remain the exclusive property of Newgen or its licensors. You are granted a limited, non-exclusive license to use our Services subject to these Terms.

8. Confidentiality

Both parties agree to maintain the confidentiality of any non-public information received in connection with these Terms. This obligation survives termination of this agreement.

9. Limitation of Liability

To the maximum extent permitted by law, Newgen shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Services.

10. Indemnification

You agree to indemnify, defend, and hold harmless Newgen and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Services or violation of these Terms.

11. Term and Termination

These Terms remain in effect until terminated. We may suspend or terminate your access to the Services at any time for cause, including violation of these Terms, fraudulent activity, or regulatory requirements. Upon termination, your rights to use the Services cease immediately.

12. Modifications

We reserve the right to modify these Terms at any time. We will provide notice of material changes via email or through our Services. Your continued use of the Services after such modifications constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of Hong Kong SAR. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Hong Kong SAR.
